What a foreign founder should know first

  • The SRL is the usual vehicle — it can be owned entirely by non-residents, whether individuals or foreign companies
  • A Romanian registered office is required — an address, with documents proving your right to use it
  • Activity codes matter — CAEN codes define what the company may legally do; getting them wrong means another filing later
  • The beneficial owner must be declared — a separate statement, required by anti-money-laundering rules
  • Most of it can be done remotely — with electronic signatures or a power of attorney
  • Registration is decided by ONRC — we prepare and follow the file; the decision and the timing are the authority’s

Frequently asked questions

Do I need to travel to Romania?

Generally no. The process can usually be completed remotely, with documents signed electronically or through a power of attorney. The exact requirements depend on your nationality and on whether the shareholder is an individual or a company — we confirm the specifics for your case before you commit to anything.

How long does registration take?

Once a complete file is submitted, the Trade Register normally resolves it within a few working days. Preparing the documentation takes about a working day if we have all the information. The final timing belongs to ONRC, not to us.

Can a foreign company be the shareholder?

Yes. A Romanian SRL can be wholly owned by a foreign company. You will need the parent company’s registration documents and proof of who is entitled to represent it, usually translated and legalised.

Do you also handle accounting?

Our focus is the Trade Register side. A Romanian company has monthly filing obligations from the moment it is registered, so we will point you towards an accountant if you do not have one — but the bookkeeping itself is a separate service.
