Company Changes & Trade Register Filings

A Romanian company is not a static entity. Almost every meaningful change — what it does, where it is based, who runs it, who owns it — has to be registered with the Trade Register before it takes legal effect against third parties.

We prepare and follow those filings. Below are the ones foreign-owned companies request most often.

Changes we handle

Activity codes (CAEN)

Adding or updating what the company is allowed to do. Required before you start an activity not already covered.

Registered office

Moving the official address, including extending an expiring registered office contract.

Directors

Appointing or removing a director, and changing the scope of their powers.

Share transfers

Transferring shares between existing shareholders or to a new one, including to a foreign entity.

Share capital increase

Whether for commercial reasons or to meet a statutory threshold tied to turnover.

Secondary premises

Registering a working point, branch or other secondary establishment.

VAT registration

Registering the company for VAT purposes, including for intra-Community transactions.

Beneficial owner declaration

The statement identifying the ultimate owners, required under anti-money-laundering rules.

Suspension & deregistration

Suspending activity temporarily, resuming before term, or dissolving and removing the company.

Why timing matters

A change that has not been registered does not exist as far as third parties are concerned. If you appoint a new director but do not register the appointment, the previous one remains the person the Trade Register shows as entitled to represent the company — with everything that follows from that in a bank, a contract or a dispute.

Several of these filings also carry deadlines. It is worth telling us about a planned change before it happens, not after.

Legal services through a collaborating law office

To meet its clients’ needs, ADISAF provides access to qualified legal services through a collaborating law office, with a practitioner registered and authorised with the Bucharest Bar Association, in accordance with Law no. 51/1995 on the organisation and practice of the legal profession, as republished and subsequently amended.

All legal documentation is drafted, reviewed and assumed exclusively by the collaborating law office, within the mandate granted by the client and in compliance with the professional rules of the legal profession.

ADISAF’s role is limited to administrative and operational coordination: receiving client requests, forwarding them to the collaborating law office, providing the documentation prepared by it and monitoring the procedural steps — without intervening in the substance of the legal act and without performing, in any form, activities reserved by law to the legal profession. Registration itself is carried out by the National Trade Register Office (ONRC), the public authority empowered by law.
